Compliance before commitment
Before any transaction moves forward, FORSOIL reviews the parties involved, the documentation and the proposed structure. Without sufficient transparency, there is no transaction.
Approach
Nine review stages
Corporate identification
The interested entity's formal identification is requested, including incorporation, jurisdiction and declared activity. This information is cross-checked against available registries before any commercial dialogue continues.
Authorised representative verification
Confirmation is sought that the contact person holds genuine authority to represent the entity and commit it commercially. Interlocutors without verifiable mandate are not progressed.
Beneficial-ownership review
The counterparty's ownership structure is examined to identify, to a reasonable extent, the ultimate beneficial owners. Opaque or unjustified structures slow or halt the process.
Sanctions and restricted-party screening
All parties involved are screened against applicable sanctions and restricted-party lists. Any relevant match interrupts progress on the opportunity.
Product-origin and supply-chain review
The declared traceability of the product, its origin and the intermediaries involved in the chain are reviewed. The absence of reasonable traceability is grounds for rejection.
Technical specification review
Declared technical product specifications are compared against available documentation and applicable reference standards before any commercial structure is considered.
Contract and payment-structure assessment
The proposed contractual and payment structure is assessed, including milestones, guarantees and conditions. Unusual structures or those lacking commercial logic are examined with particular attention.
Logistics and inspection-document review
Proposed or available logistics and inspection documents, where they exist, are reviewed to assess the overall coherence of the transaction.
Data protection and document retention
Information received is handled in line with minimisation and confidentiality principles and retained only for as long as necessary to evaluate the opportunity.
FORSOIL may decline any opportunity that does not provide sufficient transparency regarding the counterparties, product origin, commercial authority, documentation or proposed payment procedure.
